Receipt of notification according to art. 69, item 4 of the Act on Public Offer of Financial Instruments
The Management Board of Centrum Klima S.A. with registered office in Wieruchów (hereinafter "the Company") hereby publishes the information, that on 2nd December 2010, it received the notification from ING Towarzystwo Funduszy Inwestycyjnych S.A. (Investment Funds Company) with registered office in Warsaw, acting on behalf of the investment funds which it manages. The notification was drafted on 1st December 2010 and sent according to art. 69, item 4 in connection with art. 87, item 1, point 2 of the Act on Public Offer and Conditions of Introducing Financial Instruments into an Organized System of Trading and on Public Companies of 29th July 2005.
The notification sent to the Company stated that, as a result of ING Parasol Fundusz Inwestycyjny Otwarty (open-end investment fund) purchasing the Company's shares on 1st December 2010, the total number of votes at the Company's General Meeting of Shareholders, held by all investment funds managed by ING Towarzystwo Funduszy Inwestycyjnych S.A., exceeded the threshold of 5% of the total number of votes at the Company's General Meeting of Shareholders.
Before the change occurred, the investment funds managed by ING Towarzystwo Funduszy Inwestycyjnych S.A. had held the total of 413,658 shares of the Company, which had constituted 4.86% of the Company's share capital.
Before the change of held share occurred, the stocks owned by the investment funds managed by ING Towarzystwo Funduszy Inwestycyjnych S.A., had entitled the shareholder to the total of 413,658 votes at the Company's General Meeting of Shareholders, which had constituted 4.86% of the general number of votes at the Company's General Meeting of Shareholders.
As at the date of drafting the notification, that is 1st December 2010, the investment funds managed by ING Towarzystwo Funduszy Inwestycyjnych S.A., currently hold the total of 438,658 shares of the Company, which constitute 5.15% of the Company's share capital.
As at the date of drafting the notification, the shares which are owned by the investment funds managed by ING Towarzystwo Funduszy Inwestycyjnych S.A., entitle the shareholder to the total of 438,658 votes at the Company's General Meeting of Shareholders, which constitute 5.15% of the general number of votes at the Company's General meeting of Shareholders.
In its notification, ING Towarzystwo Funduszy Inwestycyjnych S.A. did not provide information concerning subsidiaries which hold the Company's shares and persons mentioned in art. 87, item 1, point 3, letter c of the the Act on Public Offer of Financial Instruments.
All shares of the Company are of the same type.
