Change to an important agreement for the implementation of the construction investment consisting in building a warehouse-production-office complex according to the system of general contracting
Management Board of Centrum Klima S.A. with registered office in Piastów (hereinafter "the Company") publishes the information that yesterday (18th May 2010) the Company received a counterpart of annex 7, signed by Skalski Budownictwo, spółka z ograniczoną odpowiedzialnością [limited liability company] , spółka komandytowo-akcyjna [limited joint-stock partnership] with registered office in Kraków (hereinafter referred to as "the general Contractor") to the agreement of 16th December 2009 concerning the implementation of construction investment consisting in building a warehouse-production-office complex in Wieruchów according to the system of general contracting (hereinafter “the Agreement”), the Company informed about the conclusion of the agreement in current report no. 72/2009, therefore the Management Board informs about the change to the above mentioned important Agreement.
Based on annex no. 7 the subject of the Agreement has been extended by additional finish works, which are listed in detail in Attachment to annex no. 7.
Due to extending the subject of the Agreement, the lump sum of remuneration for the General Contractor for performing the subject of the Agreement has changed and currently comprises the sum of: (i) net PLN 18,293,163.00 (eighteen million two hundred ninety three thousand one hundred sixty three PLN) increased by due VAT tax and (ii) PLN equivalent of net EUR 24,534.00 (twenty four thousand five hundred thirty four euro) increased by due VAT tax.
The part of the remuneration sum for the General Contractor expressed in euro shall be converted into PLN according to average EUR exchange rate published by the National Bank of Poland on the day of issuing a VAT invoice by the General Contractor.
Basis for considering annex no. 7 to the Agreement of 16th December 2009 for the implementation of construction investment consisting in building a warehouse-production-office complex in Wieruchów according to general contracting system as a change to an important agreement: the value of the changed Agreement exceeds 10% of the Company’s equity.
