Sales by the Company of assets of significant value on the basis of alienation clause with Bank Handlowy SA in Warsaw
The Management Board of Centrum Klima S.A. with its registered office in Piastów (hereinafter referred to as "the Company") announces that on 5th of August the Company received a copy of a alientation clause issued by Bank Handlowy w Warszawie S.A. (hereinafter ?the Bank?) to the agreement from of 23 December 2008 about which the Company had informed in its prospectus.
On the basis of this clause both sides accepted the change of the alienated assets so that it covers all stocks and cooling and ventilation devices in the warehouses based in Piastów, Noakowskiego 4 and Warsaw, Instalatorów 7B of the total value 12.323.968,41 PLN. The ownership of the stock will be transferred back to the company in case of full repayment the agreement expires and the Company will hold the ownership of those items once more.
The alienation took place on the 3rd of August 2010.
The alienation took place in order to secure liabilities of the Bank to the Company on account of the letters of credit BDK/URT/000801626/0068/08 concluded between the Bank and the Company which during the agreement period cannot exceed 6.000.000 PLN.
There are no other connections other than from the above mentioned agreement between the Bank and the Company in particular between the Bank and Company legal and supervisory representatives.
The alienation clause BDK/PR-PG/000801626/0119/08 is not an agreement with affiliate organisation.

Article 56, clause 1 item 2 of the Law on Offer - current and periodical information connected with § 5 clause 1 item 1 of the Directive of the Minister of Finance dated February 19, 2009 on current and periodical information to be submitted by issuers of securities, and on the conditions of deeming equivalent any other information required by the law of a non-member country. |
